Description of the Service

GeoDex Smart Pages™ provide structured, professionally hosted business listing pages designed to support modern search, AI discovery, and geographic visibility.

The Service may include:

• Creation and hosting of a Smart Page™
• Display of business information provided by the user
• Structured data optimized for AI and search systems
• Ongoing availability of the page during the active subscription term

Products & Features

The GeoDex platform includes the following proprietary products and features, which may be offered individually or as part of a subscription plan:

• SmartPage™ — Professionally hosted, AI-optimized business listing pages featuring structured data, geographic targeting, and schema markup — the core of every GeoDex listing.
• SmartListings™ — AI-optimized business listing pages with structured data, geographic targeting, and schema markup designed for discovery by AI search engines and voice assistants.
• IntelliText™ — AI-assisted content generation for service descriptions, area pages, FAQs, and other listing content tailored to each business.
• IntelliChat™ — A conversational AI widget embedded on listing pages that engages visitors, answers questions, and captures leads on behalf of the business.
• IntelliVoice™ — A voice-enabled AI agent that handles inbound calls, answers common business inquiries, and routes leads.
• IntellAgent™ — An autonomous AI business assistant that monitors listing performance, recommends optimizations, and manages ongoing content freshness.

Availability of individual products may vary by plan tier and geographic region.

GeoDex does not guarantee rankings, traffic levels, lead volume, or placement in any specific search or AI system.

Eligibility

The Service is intended for legitimate businesses and authorized representatives acting on their behalf.

By using GeoDex, you represent that:

• You are authorized to provide and manage the business information submitted
• All information you provide is accurate and up to date
• Your use of the Service complies with applicable laws and regulations

Account Activation and Verification

Some businesses may already appear in GeoDex in an unverified or placeholder state.

A GeoDex Smart Page™ must be activated to:

• Verify business ownership or authorization
• Enable full visibility and indexing
• Maintain an active, managed listing

GeoDex reserves the right to review, verify, or decline activation at its discretion.

Subscription Plans and Billing

Monthly Plans

• Billed monthly in advance
• Cancel anytime
• No refunds for partial months
• Service remains active until the end of the current billing period

Annual Plans

• Billed in full upfront
• Discounted pricing reflects a commitment for the full term
• Non-refundable after activation
• Canceling stops future renewal; service continues through the end of the paid annual term

All prices are listed in U.S. dollars unless otherwise stated.

No Refund Policy

GeoDex does not provide refunds for:

• Partial billing periods
• Time already elapsed
• Setup, review, or activation work completed
• Annual plans after activation

By activating the Service, you acknowledge and agree to this policy.

User Responsibilities

You are responsible for:

• Maintaining accurate and current business information
• Ensuring content does not infringe third-party rights
• Using the Service in a lawful and appropriate manner

You may not:

• Submit false or misleading information
• Use the Service for fraudulent, deceptive, or illegal purposes
• Attempt to interfere with or misuse the platform

Content and Intellectual Property

You retain ownership of business information you provide.

By submitting content, you grant GeoDex a non-exclusive, royalty-free license to display, store, structure, and distribute that information solely for the purpose of operating the Service.

GeoDex Smart Pages™, platform design, structure, and underlying systems are the property of AdCommAi Inc and may not be copied, resold, or reverse-engineered.

Availability and Modifications

GeoDex aims to provide reliable, continuous service but does not guarantee uninterrupted availability.

We may:

• Modify or improve features
• Update page structure or presentation
• Adjust technical implementation to support evolving discovery systems

Material changes will not remove access during an active subscription term.

Termination

GeoDex reserves the right to suspend or terminate a Smart Page™ if:

• These Terms are violated
• Provided information is fraudulent or unlawful
• Required payments are not made

In such cases, no refunds will be issued.

Disclaimer of Warranties

The Service is provided "as is" and "as available."

GeoDex makes no warranties regarding:

• Search rankings or AI recommendations
• Business outcomes or performance
• Compatibility with all third-party systems

Limitation of Liability

To the fullest extent permitted by law, AdCommAi Inc shall not be liable for indirect, incidental, or consequential damages arising from use of the Service.

Total liability shall not exceed the amount paid for the Service during the twelve months preceding the claim.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted with a revised "Last Updated" date. Continued use of the Service constitutes acceptance of the revised Terms.
